Hubtown Limited has told the exchanges that its subsidiary, Rare Townships Private Limited (RTPL), has allotted it 10,85,543 Class A equity shares of face value ₹10 each. The shares were issued at ₹30 each, including a premium of ₹20, for ₹3,25,66,290 in cash, or about ₹3.26 crore. Hubtown subscribed to the residual right entitlement of RTPL's rights issue.

The allotment on 12 Oct 2026 raises Hubtown's holding in RTPL's Class A equity share capital from 74.65% to 75.24%. RTPL's paid-up share capital is ₹48,54,47,160 after this rights issue, and its turnover was ₹9,802.79 lakh, or about ₹98.03 crore, for the year ended 31 Mar 2026.

RTPL is engaged in the construction and development of residential and commercial premises, the same line of business as Hubtown. The filing treats the investment as a related party transaction because RTPL is a subsidiary, says it was made at arm's length, and notes that Hubtown and its promoters are interested only to the extent of their shareholdings in RTPL. No government or regulatory approval was required.

    Inference

For shareholders, the filing shows Hubtown putting about ₹3.26 crore more into an existing subsidiary in the same real estate business, which raises its ownership share by about 0.6 percentage points. The amount is small next to RTPL's reported turnover and paid-up capital.

The filing does not say what RTPL will use the money for, or give RTPL's profit. A subsidiary's results are normally included in the parent's consolidated accounts, so investors may want to look at how RTPL contributes in Hubtown's later results.
