Info Edge (India) (NSE: NAUKRI) said in a filing on 23 Oct 2026 that its wholly owned subsidiary Startup Investments (Holding) Ltd. agreed to invest about ₹5 crore in Bizcrum Infotech Private Limited (Bijnis), an associate and related party. The company reported total income of ₹1,073.01 crore for Q1 FY27.

Primary investment and the stake it gives

Startup Investments (Holding) Ltd. has agreed to subscribe to 23,683 Series B2 Compulsorily Convertible Preference Shares of Bijnis, at an issue price of ₹2,111.19 per share including premium. The subscription amount is about ₹5 crore. After the primary investment, the Company's aggregate holding through the subsidiary is expected to be 20.12% on a fully converted and diluted basis.

Bijnis operates a B2B marketplace and quick commerce platform for footwear, apparel and allied fashion categories. It was incorporated on 6 Apr 2015. Its turnover was ₹113.89 crore in 2025-26, down from ₹132.62 crore in 2024-25, and its networth was ₹7.84 crore as at 31 Mar 2026.

A secondary purchase that depends on a later agreement

The filing says the subsidiary may also buy shares of Bijnis from an existing investor. That step is subject to a definitive share purchase agreement to be signed within 90 days of the primary closing, or a later date both parties agree in writing. Its consideration, share count and price are to be set out in that agreement.

The primary investment forms part of a larger financing round with existing and new investors. The Company describes the investment as part of its strategy of external financial investments focused on value creation in the medium to long term.

What the Bijnis investment means for Info Edge (India) shareholders

The cash outlay of about ₹5 crore is small against the Company's market value of ₹76,935 crore at the 23 Oct 2026 close. The filing gives Bijnis a PAT/loss figure of ₹44.04 crore for 2025-26 without saying whether it is a profit or a loss, and it does not give the size of the wider financing round, the identity of the selling investor, or the valuation basis behind the issue price.
