Info Edge (India) Limited has told the exchanges that its board, at a meeting on 13 Oct 2026, approved investing about ₹100 crore in the equity shares of each of two wholly owned subsidiaries: Startup Internet Services Limited (SISL) and Startup Investments (Holding) Limited (SIHL).
For SISL, the company has agreed for now to buy 2,00,00,000 equity shares of ₹10 each for about ₹20 crore, with the balance of about ₹80 crore to be put in later in one or more tranches depending on SISL's fund needs. For SIHL, it has agreed for now to buy 83,94,895 equity shares at a premium of ₹19.78 each for about ₹25 crore, with about ₹75 crore to follow in tranches.
The filing says the investment will help each subsidiary explore investment opportunities, including contributions to alternative investment funds (AIFs) and other general purposes. SISL had no turnover, a profit after tax of ₹1.77 crore and a net worth of ₹5.45 crore as of 31 Mar 2026. The investments are related party transactions because the companies are wholly owned subsidiaries, are at arm's length, and the promoters have no interest in them. They are to be completed within one year of the approval.
Inference
For shareholders, the filing shows Info Edge moving up to about ₹200 crore into two subsidiaries whose stated purpose is to make investments, including through AIFs. Only ₹45 crore is committed for now, and the rest depends on the subsidiaries' needs.
The filing does not name specific investments or say what returns are expected. Because the subsidiaries are wholly owned, their results form part of Info Edge's consolidated accounts, so investors may want to watch how the company reports its investment portfolio in later results.
