Size against the statutory limit
The buyback size is 9.70% of the aggregate of fully paid-up equity share capital and free reserves in the audited accounts for the year ended 31 Mar 2026. The Board approval route allows up to 10% of that aggregate, so the proposal sits just under the limit.
At the market value Blacklitt holds for 03 Nov 2026, the company was valued at ₹6,912 crore at ₹188.24 a share. The buyback price of ₹215 is above that closing price, a gap of about 14.2%.
Mechanics set by the Board
The Board formed a buyback committee and delegated to it the powers needed to carry out the buyback. Until one working day before the record date, the Board or the committee may raise the buyback price and cut the number of shares, keeping the buyback size unchanged.
The company says the public announcement and letter of offer will be released in due course under the Buyback Regulations. The pre-buyback shareholding pattern as on 30 Oct 2026 is enclosed; the post-buyback pattern will be ascertained after the record date.
Context from recent results
The buyback was approved at the same meeting that considered the unaudited results for the quarter and half-year ended 30 Sep 2026. Those results are not covered by this filing's figures, and the buyback filing does not link the two.
What the buyback means for Jyothy Labs' shareholders
The buyback offers to purchase up to 68,37,210 shares, about 1.86% of paid-up capital, at ₹215 each, and the promoter group will not take part, so the offer is open to other eligible holders on the record date. The filing does not say how many shares will actually be bought back, the final price, when the offer opens and closes, or the tax treatment for shareholders.
The next dated step is the record date of 11 Nov 2026. The public announcement and letter of offer have no date in the filing.
