The buyback is proposed at ₹215 a share, so the maximum amount is ₹147 crore, excluding transaction costs. That is 1.86% of the paid-up equity shares as at 31 Mar 2026, and 9.70% of the aggregate of paid-up capital and free reserves in the audited accounts.
Against Blacklitt's market value for the company of ₹6,912 crore at the 03 Nov 2026 close, the maximum buyback amount is about 2.1%. The company's own figures are the only basis for the 9.70% test, which the filing describes as within the statutory limit for the Board approval route.
Record date and the terms that can change
The record date is Wednesday, 11 Nov 2026. Shareholders and beneficial owners on that date are eligible to take part, according to the filing.
Until one working day before the record date, the Board or the buyback committee may raise the buyback price and reduce the number of shares, keeping the buyback size unchanged. The Board formed a buyback committee and delegated its powers to it for matters connected with the buyback.
What the buyback means for Jyothy Labs' shareholders
The company would buy back up to 68,37,210 shares, and the promoter and promoter group, which held 62.88% before the buyback, have said by letter dated 4 Nov 2026 that they do not intend to participate. The record date of 11 Nov 2026 is the next dated step.
The filing does not say how many shares will actually be bought back, what the post-buyback shareholding will be, why the Board proposed the buyback, or when the public announcement and letter of offer will be released, only that this will happen in due course.
