Net profit rose while income fell. Consolidated total income dropped 7.7% year on year to ₹723.68 crore, but net profit rose 3.9% to ₹23.95 crore. Profit before tax was up 0.4%, and tax expense fell 8.9% to ₹7.66 crore, so the year-on-year gain in net profit is larger than the gain before tax.

Other income is small. At ₹5.21 crore it is 0.7% of total income and 16.5% of profit before tax of ₹31.61 crore.

Net profit attributable to shareholders of the company was ₹23.89 crore, against ₹23.45 crore a year earlier, with non-controlling interest contributing ₹0.06 crore. The auditor's review of the consolidated results carried an unmodified conclusion, and it notes three subsidiaries reviewed by other auditors with total revenue of ₹4.61 crore for the quarter, which it says is not material to the group.

Standalone net profit was nearly flat. It rose 0.4% to ₹23.93 crore while total income fell 7.6% to ₹724.66 crore. Profit before tax fell 2.0% to ₹31.59 crore, so the net profit gain sits against a lower pre-tax figure, with tax expense down 8.9% to ₹7.66 crore.

Standalone finance costs rose 12.9% to ₹11.03 crore and depreciation rose 12.0% to ₹8.23 crore, while other income fell 6.9% to ₹4.88 crore. Standalone other income is 15.4% of profit before tax.

The gap between the two natures is small. Consolidated net profit exceeds standalone by ₹0.02 crore, and consolidated total income is ₹0.98 crore lower than standalone.

    Inference

The filing states a proposed Scheme of Demerger approved by the Board on 31 Aug 2026, which would transfer the Vertical A and Vertical C businesses to two wholly owned subsidiaries, Lux and Cozi Limited and Lux Global Limited. The scheme is subject to approval from BSE, NSE and the National Company Law Tribunal, and the company says no effect of the scheme has been given in the results.

Consolidated borrowings, current, were ₹527.60 crore at 30 Sep 2026, and the company's paid-up equity share capital rose to ₹6.36 crore from ₹6.26 crore. The filing does not say the reason for the change in share capital, the timing of the demerger approvals, or what the scheme will mean for results once it takes effect.
