NCC (NSE: NCC) has approved the re-appointment of three directors and an alteration of its Objects Clause, it said in a filing on 05 Nov 2026. The re-appointments cover Managing Director A A V Ranga Raju, Executive Director A G K Raju and Whole-time Director J V Ranga Raju, each for five years from 1 Apr 2027 to 31 Mar 2032.
The re-appointments and their terms
The board approved the re-appointment of Sri A A V Ranga Raju as Managing Director, Sri A G K Raju as Executive Director and Sri J V Ranga Raju as Whole-time Director, each for a further period of five years from 1 Apr 2027 to 31 Mar 2032. Continuation in office beyond the age of 70 is included for all three.
Ranga Raju, the Managing Director, is one of the promoters and has nearly five decades of experience in construction and infrastructure. The three directors are brothers or brothers-in-law of one another, and none has been debarred from holding the office of Director by SEBI or any other authority. The re-appointments are not liable to retire by rotation for Ranga Raju, and carry no change in existing remuneration for any of the three. All of them are subject to approval by members through a Special Resolution by postal ballot.
The objects clause alteration
The board also approved altering the Objects Clause of the Memorandum of Association to add new business activities in technology services, digital infrastructure and allied sectors, and adopting a revised Memorandum. The company says the aim is to expand business opportunities, particularly in technology-enabled infrastructure and allied sectors, and to align the Memorandum with the Companies Act, 2013. It says the changes are intended to let the company pursue existing and emerging opportunities, subject to applicable laws, regulatory approvals and internal approval processes.
What the filing means for NCC's shareholders
The filing sets out board approvals that need a member vote. The Postal Ballot Notice has been approved but will be sent to members in due course. The filing does not say what remuneration will apply after 31 Mar 2027, who would take over duties if a director stepped down during the term, which new business activities the company intends to pursue, or whether the objects clause change will lead to new business or affect results.
The next dated step is the postal ballot, whose date is not stated.
