Organo-Lithium expansion
The Board approved expanding the existing Organo-Lithium chemicals manufacturing facility at Patancheru from 300 MT/PA of active to 600 MT/PA of active, a doubling of stated capacity. The estimated investment is up to ₹45 crore, to be funded from internal accruals and/or debt.
The company says the expansion will add revenue potential of ₹150 crore to ₹200 crore, depending on Lithium prices, and that the capacity will be added by the end of the next financial year. It says the project aligns with its strategic objective to meet growing market demand. The filing gives no figure for the expected margin on that revenue.
Related party dealings with NML and NIL
The Board approved material related party transactions between the company and Neogen Morita New Materials Limited (NML), a step-down subsidiary, for 8 Dec 2026 to 7 Dec 2027, subject to member approval. The main item is a corporate guarantee, securities or indemnities of up to ₹500 crore.
Neogen Ionics Limited (NIL), a wholly owned subsidiary, has its own related party limits with NML for the same period. These include unsecured loans and advances up to ₹200 crore, interest up to ₹24 crore, sales and purchases up to ₹500 crore each, and guarantees up to ₹500 crore. The NIL board also raised its section 186 threshold to ₹700 crore and approved loans or ICDs up to ₹200 crore under section 185, both subject to member approval.
The company's section 186 threshold rises to ₹500 crore. These limits are upper bounds; the filing does not say what transactions are expected in practice.
NCD redemption and postal ballot
The Board approved the pre-mature voluntary early redemption, in full, of 20,000 secured, listed, rated, non-convertible debentures aggregating ₹200 crore, issued on private placement on 12 Aug 2025. The redemption date is to be set by the company, subject to necessary approvals, and a detailed disclosure will follow in a separate intimation.
The related party approvals will go to members by postal ballot. The record date is 5 Nov 2026, remote e-voting runs from 7 Nov 2026 to 6 Dec 2026, and results are to be declared on or before 8 Dec 2026.
What the Board decisions mean for Neogen Chemicals' shareholders
The filing sets out capacity, investment and related party limits, all of which remain subject to member approval or further steps. Shareholders will vote on the NML and NIL related party transactions by postal ballot, with a deemed passing date of 6 Dec 2026.
Not stated: why the NCDs are being redeemed early, whether the redemption will be funded from the ₹580 crore QIP proceeds, and whether the ₹45 crore expansion investment has been spent to date. The next dated step is the postal ballot result, due by 8 Dec 2026.
