Capacity expansion at Patancheru
The Board approved expanding the Organo-Lithium chemicals manufacturing facility at Patancheru from 300 MT/PA to 600 MT/PA of active, with estimated investment of up to ₹45 crore. The company says the expansion aligns with its strategic objective to meet growing market demand.
The company says the expansion will add revenue potential of ₹150 crore to ₹200 crore, depending on Lithium prices, and that the capacity will be added by the end of next financial year. Against the ₹45 crore estimate, the stated revenue range is about 3.3 to 4.4 times the investment.
Related party transactions and loan limits
The Company proposes material related party transactions with Neogen Morita New Materials Limited (NML), a step-down subsidiary, for 8 Dec 2026 to 7 Dec 2027, including a corporate guarantee, securities or indemnities of up to ₹500 crore. Neogen Ionics Limited, a wholly owned subsidiary, proposes nine transaction types with NML, including unsecured loans of up to ₹200 crore and sales of goods of up to ₹500 crore, each subject to member approval by ordinary resolution.
The Board also approved raising the section 186 threshold for the Company to ₹500 crore, and Neogen Ionics Limited approved thresholds of ₹700 crore under section 186 and advances of up to ₹200 crore under section 185. The company's latest quarter, Q2 FY27, reported consolidated total income of ₹299.92 crore and net profit of ₹8.23 crore.
Early redemption of debentures
The Board approved the voluntary early redemption in full of 20,000 secured, listed, rated, redeemable NCDs of ₹1,00,000 each, aggregating ₹200 crore, issued on private placement on 12 Aug 2025. The redemption is subject to receipt of necessary approvals and to a date the Company will determine. A detailed disclosure under regulation 51(2) will follow in a separate intimation.
What the Board decisions mean for Neogen Chemicals' shareholders
The filing sets out limits and approvals rather than committed amounts. Member approval through the postal ballot is required for the related party transactions, and the voting window closes on 6 Dec 2026. The filing does not say what the related party transactions will actually amount to, why the section 186 thresholds are being raised, or how the early redemption will be funded beyond internal approvals.
The next dated steps are the postal ballot dispatch on 6 Nov 2026, the e-voting close on 6 Dec 2026, and the separate regulation 51(2) disclosure on the debenture redemption.
