NIIT Learning Systems buys Bluewater Learning for up to USD 17.6 million

NIIT Learning Systems (NSE: NIITMTS) has acquired 100% of Bluewater Learning, LLC, a Texas-based HCM learning technology firm, for up to USD 17.6 million, it said in a filing on 29 Oct 2026. The acquisition was made through NIIT (USA), Inc., and the transaction has been completed.

A Texas HCM learning firm founded in 2003

Bluewater Learning was founded in 2003 and is headquartered in Texas, USA. It is a specialist firm in Human Capital Management (HCM) learning technology, providing consulting, implementation and managed services across the learning technology lifecycle. It has established partnerships with leading platforms, including Cornerstone and Docebo.

NIIT (USA), Inc., a wholly owned overseas subsidiary of the company, made the investment. The board approved it at a meeting held on 28 Oct 2026 and concluded on 29 Oct 2026.

The company says the deal fits its strategy of growth through new capabilities, geographic expansion and penetration of customer segments. It also says Bluewater Learning strengthens its position in the HCM learning technology ecosystem.

A price of up to USD 17.6 million, with an earnout

The aggregate purchase price is up to USD 17.6 million. It includes an earnout payable over the next five years based on Bluewater Learning's performance, and is subject to customary adjustments under the definitive agreements.

Bluewater Learning's turnover was USD 7.5 million in the year ended 31 Dec 2023, USD 6.1 million in the year ended 31 Dec 2024 and USD 6.2 million in the year ended 31 Dec 2025, all unaudited. Its estimated turnover for the twelve months to 30 Sep 2026 is USD 8.5 million.

What the acquisition means for NIIT Learning Systems' shareholders

The consideration is cash, and the transaction is already complete. The filing does not give the amount payable upfront, how the USD 17.6 million splits between upfront payment and earnout, or what the business adds to the company's revenue or profit.
