Standalone net profit fell 61.7% year on year, against a 17.4% fall in total income. The year-ago quarter carried other income of ₹60.61 crore, and the current quarter shows ₹17.46 crore, so the year-ago base is high in that line.

Tax expense of ₹7.47 crore is 25.2% of profit before tax, up 41.0% from the year-ago quarter. The standalone filing shows no exceptional items for the quarter, against ₹135.28 million in the year-ago quarter.
Consolidated net profit of ₹37.31 crore is ₹15.09 crore higher than standalone net profit of ₹22.22 crore. Consolidated total income of ₹534.42 crore is ₹373.87 crore higher than standalone total income of ₹160.55 crore.

Inference
The board approved the results on 29 Oct 2026 with an unmodified limited review opinion from the statutory auditors. The review reports carry emphasis-of-matter paragraphs on the goodwill restatement and the unbilled revenue reclassification, and the opinions are not modified.
The board approved Price Waterhouse Chartered Accountants LLP as statutory auditors for five years, from the 25th AGM in 2027 to the 30th AGM in 2032, subject to shareholder approval. Consolidated dividends paid to parent equity shareholders were ₹44.86 crore in the period, against ₹41.12 crore a year earlier.
Subsequent to the quarter, NIIT (USA), Inc acquired 100% membership interest in Bluewater Learning, LLC for up to USD 17.6 million including an earnout over five years. The filing does not say how the payments will be funded or whether the deal will change consolidated revenue or profit.
