The consolidated result moved from a profit to a loss. Total income fell 10.0% to ₹106.68 crore, while the net result swung from a profit of ₹0.65 crore a year earlier to a net loss of ₹1.84 crore.
Other income fell more than revenue from operations. Revenue from operations fell 6.4% to ₹98.22 crore, while other income fell 37.5% to ₹8.47 crore, which is 7.9% of total income. Depreciation rose 42.6% to ₹10.34 crore over the same period, so a cost line grew while the revenue line shrank.
Two items sit outside the operating lines. Exceptional items were ₹35 lakh, for legal, professional and other non-operating costs of legacy tax litigation matters. Finance costs were ₹0.22 crore, 0.2% of total income. The company says both statements carry a restatement: unbilled revenue of ₹28.75 crore at 31 Mar 2026 was reclassified from other financial assets to trade receivables following an ICAI Expert Advisory Committee opinion. The company says the iamneo Edutech acquisition of 17 Apr 2025 means the six-month figures are not comparable with the year-earlier six months.

The standalone result follows the same direction. Total income fell 11.8% YoY to ₹84.47 crore and the company made a net loss of ₹2.40 crore, against a profit of ₹0.96 crore a year earlier. Against the previous quarter, total income fell 16.4%, as other income fell 59.7%.
Standalone revenue from operations fell 7.4% to ₹75.42 crore, and other income fell 36.6% to ₹9.05 crore, which is 10.7% of total income. Depreciation rose 51.0% to ₹8.56 crore. Finance costs were ₹18.4 lakh, 0.2% of total income.
The standalone review report carries an emphasis of matter on the scheme of amalgamation of NIIT Institute of Finance Banking and Insurance Training Limited and RPS Consulting Private Limited, approved by the NCLT on 22 May 2026. The company says the amalgamation was accounted for from the date it obtained control, with comparatives restated, and that the scheme's legal and professional costs were recognised as exceptional expenses. Standalone unbilled revenue of ₹11.26 crore at 31 Mar 2026 was reclassified to trade receivables in the same way.
Inference
The statutory auditors, S.R. Batliboi and Associates LLP, issued limited review reports with an unmodified conclusion on both statements, and will continue as statutory auditors until the 44th AGM in 2027. The board has approved the appointment of Price Waterhouse, Chartered Accountants, for five consecutive years, from the 44th AGM to the 49th AGM in 2032, subject to shareholder approval and statutory requirements.
During the quarter, 1,064,000 options were granted, 339,981 equity shares were issued and 246,673 options lapsed under the NIIT Employee Stock Option Plan 2005. A total of 9,441,665 options were outstanding on 30 Sep 2026. The trading window for designated persons and their immediate relatives opens on 30 Oct 2026.
The filing does not state the reason for the consolidated loss before tax, the reason other income fell to ₹8.47 crore from ₹22.03 crore in the previous quarter, the nature of the legacy tax litigation, or whether a dividend has been declared or recommended.
