NRB Bearings signs ₹72 lakh Amplus Ampere share sale to Apcotex

The second sale, to Deepak Novochem Technologies Limited, is under a DNTL SPSA that the company has not yet executed. After execution, the company will sell 7,36,000 AAPL shares, or 1.30% of AAPL's equity capital, for ₹73.60 lakh. The company says its board approved the drafts of both agreements by circular resolution on 22 Oct 2026.

What the company keeps in AAPL

Before the two sales the company holds 48,00,000 AAPL shares, or 8.50% of its equity capital. It will hold 7.23% after the Apcotex sale and 5.93% after both sales are complete. The company says the transfers do not waive, release or discharge existing rights or obligations of AAPL towards the company under other agreements between the parties.

Both agreements transfer the shares free from encumbrances on an 'as is, where is' basis and contain customary representations, warranties and indemnities. Neither gives the buyer rights to nominate directors, subscribe to future share issues or restrict changes in the company's capital structure.
