SG Finserve Limited has told the exchanges that its board, at a meeting on 16 Oct 2026 that ran from 11:00 AM to 1:50 PM, approved acquisitions of stakes in two companies and a plan to set up a finance subsidiary in GIFT City. The meeting also approved the quarter’s results, which are covered in a separate article.

The board approved, on the Audit Committee’s recommendation, the acquisition of 24.5% of the equity shares of SG Enterprise Solutions Private Limited from SG Green Buildings Private Limited, a related party. SG Green Buildings is one in which the promoters and their immediate relatives together hold more than 20%. SG Enterprise Solutions was incorporated on 10 Sep 2026, and the company says it will be a group shared services company providing common corporate support services to group entities. It will become an associate of SG Finserve, and the acquisition is expected to be completed by 31 Dec 2026.

The board also approved the acquisition of 15.5% of the equity shares of Succesship Technologies Private Limited, and an investment plan of up to USD 5 million (about ₹48 crore) to set up a finance company in GIFT City as a wholly owned subsidiary, subject to regulatory and statutory approvals. It delegated the necessary powers to the Finance Committee.

The board also appointed Mr. Alok Bhushan as internal auditor from 17 Oct 2026. He is a banking professional with over 32 years of experience, who retired from State Bank of India as a Deputy General Manager in August 2025. Mr. Saurabh Mishra steps down as Head of Internal Audit at the close of business on 16 Oct 2026 to take up other responsibilities within the organisation.

    Inference

The purchase of the stake in SG Enterprise Solutions is a related party transaction, because the seller is linked to the promoters. The filing gives the acquisition price for none of the stakes and does not say what the Succesship Technologies business does.

The GIFT City plan is capped at USD 5 million and depends on regulatory approvals that have not yet been received. The filing does not say what the new finance company would do or when it would be set up.
