Bonus issue and the share count
The board approved a 2:1 bonus issue, to be made by capitalising a sum not exceeding ₹23.04 crore from retained earnings, subject to members' approval. Holders on the record date would receive two new shares of ₹2 for each share held.
The filing gives the post-bonus paid-up capital as ₹34.56 crore across 17,28,12,600 shares, against 5,76,04,200 shares before the bonus. It estimates that the bonus shares will be credited or dispatched on or before 02 Jan 2027.
Interim dividend and record date
The board declared an interim dividend of ₹2 per equity share for FY 2026-27, equal to 100% of face value. The notes to the results put the total payout at ₹11.52 crore, on 57,604,200 equity shares.
The board fixed Friday, 13 Nov 2026 as the record date for the interim dividend, and the dividend will be paid or dispatched on or before 03 Dec 2026. The record date for the bonus shares will be announced in due course.
Authorised capital, EGM and management changes
The board approved an alteration of the capital clause to raise authorised share capital from ₹15 crore to ₹40 crore, subject to member approval. The EGM on 16 Dec 2026 is called for the bonus issue and this alteration.
A candidate for Chief Financial Officer has been selected and is expected to take office in January 2027. Until then, Sumer Ghumman, Whole-time Director, has been given additional CFO responsibilities on an interim basis. Company Secretary Aarti Sahni is to resign with effect from 07 Dec 2026. The board also noted the restructuring of bank borrowings for its wholly owned subsidiary Shivalik Engineered Products Private Limited, with further information to follow.
What the bonus and dividend mean for Shivalik Bimetal Controls' shareholders
If members approve the bonus issue, each holder would receive two new shares for each share held, so the total number of shares held would rise threefold. The interim dividend of ₹2 per share is payable to holders on the 13 Nov 2026 record date.
The filing does not say when the bonus record date will be fixed, what the EGM and e-voting will decide, who the incoming CFO is, or why the Company Secretary is resigning. The next dated step in the filing is the interim dividend record date of 13 Nov 2026.
