The resignation and the succession plan

The board accepted the resignation of Ashok Kumar Windlass from the posts of Whole-time Director and Director with effect from 5 Nov 2026 at 10.00 A.M. The company says the resignation is due to its long-term succession planning, and his letter states there are no other material reasons beyond those stated.

He also ceases to be a member of the Corporate Social Responsibility Committee. The filing describes him as Promoter and Founder of the company.

A founder role and a chairman

The board, on the recommendation of the Nomination and Remuneration Committee and the Audit Committee, approved his appointment as Founder President, Senior Management Personnel, effective 6 Nov 2026, subject to shareholder approval. The filing says shareholder approval would constitute an appointment to an office or place of profit under Section 188(1)(f) of the Companies Act, 2013.

Hitesh Windlass, Managing Director and Promoter, was appointed Chairman of the Board from 5 Nov 2026. Each holds 44,00,000 shares, according to Annexure III.

The company's latest quarter, Q1 FY27 standalone, showed total income of ₹253.21 crore, up 17.6% year on year. The filing's own results for the quarter ended 30 Sep 2026 were approved at the same meeting.

What the board changes mean for Windlas Biotech's shareholders

The changes put the founder into a senior management role at a fixed salary of ₹1.56 crore a year, and make Hitesh Windlass Chairman as well as Managing Director. The founder's new role takes effect only after shareholders approve it.

The filing does not say who replaces Ashok Kumar Windlass as Whole-time Director, what the Founder President role involves, or whether shareholders have approved it. The next dated step is the shareholder vote on his appointment.
