Consolidated net profit rose 28.6% QoQ to ₹18 crore, faster than total income, which rose 0.9% to ₹565 crore. Revenue from operations rose 3.4% YoY to ₹555 crore, while other income fell 23.1% to ₹10 crore.

Other income of ₹10 crore is 1.8% of total income and 40.0% of profit before tax of ₹25 crore. Tax of ₹6 crore is 24.0% of profit before tax. The consolidated profit before tax includes a share in the profit of an associate of ₹1 crore, which the statement shows separately.

The year-ago quarter was a loss of ₹4 crore after an exceptional charge of ₹15 crore for cost related to the composite scheme. The filing states that the comparatives were restated for the scheme, with restated profit before tax of minus ₹6 crore on this consolidated basis, so the year-on-year change is measured from a low base.

Standalone net profit rose 14.3% QoQ to ₹16 crore while total income fell 0.9% to ₹560 crore. Revenue from operations rose 3.4% YoY to ₹555 crore, and other income fell 16.7% YoY to ₹10 crore.

Other income of ₹10 crore is 43.5% of standalone profit before tax of ₹23 crore, and tax of ₹6 crore is 26.1% of it. Standalone finance costs of ₹16 crore are 6.7% higher than a year earlier, against a flat consolidated figure of ₹15 crore.

Exceptional items are nil in the quarter and in the prior quarter. The year-ago standalone quarter carried an exceptional charge of ₹15 crore for the composite scheme cost, which the filing says is included in the restated comparatives.

Consolidated net profit is ₹2 crore higher than standalone net profit, and consolidated total income is ₹5 crore higher. The filing shows the associate Allcargo Group Services Private Limited as recognised from 1 Jul 2026, which is one part of the consolidated figures.

Allcargo Logistics is mainly engaged in logistics services, including express delivery and warehousing, and reports one segment, domestic logistics services. Paid-up equity share capital is ₹300 crore at a face value of ₹2 per share.

Note 8 of the standalone statement describes the composite scheme that demerged the international supply chain business into Allcargo Global Limited, approved by the National Company Law Tribunal and effective from 1 Nov 2025. The auditors draw attention to the accounting treatment, which they say overrides applicable Ind AS, and their conclusion is not modified.

    Inference

The filing says the Board approved the appointment of Russell Parera as an Independent Director for three years from 3 Nov 2026, and the re-appointment of Hetal Gandhi for a second term from 8 Feb 2027, both subject to member approval. It also approved the Employee Stock Option Scheme 2026, with a pool of 2,99,55,569 shares, subject to member approval.

An income-tax assessment order dated 30 Jun 2026 raised a demand of ₹5.61 crore relating to the demerged business. The company paid ₹1.21 crore on behalf of Allcargo Global Limited and appealed the remaining ₹4.40 crore after depositing 20%. The filing does not say when the appeal will be decided or how it will end.

Income tax refunds of ₹44.83 crore were credited to bank accounts transferred to Allcargo Global Limited and are treated as an inter-company deposit bearing 9% a year. The filing does not say when this amount will be received.
