Baazar Style Retail Limited has told the exchanges that its board, at a meeting on 15 Oct 2026 that ran from 3:00 PM to 5:20 PM, approved four matters. It reconstituted the Audit Committee from 15 Oct 2026, with Dr. Dhanpat Ram Agarwal as chairman and Mr. Harish Chander Khurana and Mr. Shreyans Surana as members. It appointed Mrs. Binata Sengupta as an Additional Director in the Non-Executive Independent category for three years from 15 Oct 2026, subject to shareholder approval.

The board also approved the incorporation of a wholly owned subsidiary, as a special purpose vehicle, for solar power generation and other renewable energy projects. The company says the investment fits its long-term growth strategy and sustainability goals, and the filing gives no investment amount.

Finally, the board approved the allotment of 20,00,000 equity shares of face value ₹5 at an issue price of ₹328.25 each, including a premium of ₹323.25, on conversion of 20,00,000 warrants held by a non-promoter warrant holder, out of the remaining 76,00,000 warrants allotted. The new shares will rank equally with existing shares.

    Inference

The warrant conversion adds 20,00,000 shares at ₹328.25, or about ₹65.65 crore at the full price, though part of that was paid when the warrants were issued, so the cash received now is less. The new shares increase the share count and dilute existing holders by that proportion.

The solar subsidiary is a new line of business for a retailer, and the filing does not give its size. Shareholders may want to follow how much capital goes into it and how the company reports it, and note that this conversion covers 20,00,000 of the 76,00,000 warrants that remained.
