Bharat Forge Limited has told the exchanges that it has invested ₹2,400 million, or ₹240 crore, in the equity shares of its wholly owned subsidiary Kalyani Strategic Systems Limited (KSSL). The investment is by way of a rights issue at fair value, following the board’s approval on 10 Aug 2026, and is funded from the proceeds of the company’s Qualified Institutional Placement and from internal accruals.

KSSL will allot the equity shares to Bharat Forge on or before 31 Oct 2026. Of the amount, KSSL will invest ₹1,630 million, or ₹163 crore, in its own wholly owned subsidiary, Agneyastra Energetics Limited (AEL), in one or more tranches by way of a rights issue.

AEL was incorporated on 2 Jul 2025. It is set up to manufacture high energy explosives, to fill ammunition shells with high explosives in heavy and medium calibres, and to make gun propellants and rocket propellants. The aim is an end-to-end defence energetics capability, and the filing places AEL in the defence industry.

The investment by KSSL is meant to make AEL operational and to let it set up a facility for pour filling of ammunition shells. It will be made in tranches and completed on or before 30 Sep 2027. The filing says no governmental or regulatory approvals are required.

AEL reported nil turnover for the year ended 31 Mar 2026. It is a related party of Bharat Forge, and the filing says the investment is on an arm’s length basis. It adds that none of the company’s promoter, promoter group or group companies has an interest in the proposed investments.

    Inference

The filing describes money moving down a group chain, from Bharat Forge to its subsidiary KSSL and on to AEL, to make a new defence energetics business operational. AEL reported nil turnover for the year ended 31 Mar 2026, so it has no revenue history yet.

This is a capital commitment of ₹240 crore to a business that is at an early stage, and it is funded from the proceeds of the QIP and internal accruals. The filing does not give a timeline for when AEL’s facility would begin earning or what returns are expected, so these remain unknown. Because AEL is a related party, the filing’s statement that the investment is on an arm’s length basis is a point investors may want to follow in later disclosures.
