Bharat Seats Q2 FY27 Results: Standalone Net Profit ₹15.20 Crore on Total Income of ₹710 Crore

Income grew faster than profit before tax growth would suggest in one respect and slower in another: total income rose 53.9% year on year, while net profit rose 53.5% and profit before tax rose 55.2%. Revenue from operations rose 54.6%, and other income fell from ₹2.69 crore to ₹0.86 crore, so other income is now only 0.1% of total income and 4.2% of profit before tax.

Tax took 26.3% of profit before tax this quarter, against ₹3.39 crore on ₹13.29 crore a year earlier, a rate of about 25.5%. Finance costs of ₹2.26 crore are 0.3% of total income, and depreciation rose 8.7% to ₹9.84 crore.

The filing carries an emphasis of matter on an Income Tax search conducted in FY 2023-24 under Section 132 of the Income Tax Act, 1961, at certain company premises. The auditors say their conclusion is not modified. Assessment demand orders aggregate ₹20.11 crore excluding penalty, and the CIT(A) reduced that to ₹2.45 crore for the years it sustained. Penalty demand orders of ₹2.71 crore were received in the period and are under appeal before the CIT(A). Management believes the company has a favourable position; pending appeal outcomes, no adjustment has been made to the results.

The company has one reportable segment, so no segment disclosures are given. No exceptional items were reported for the quarter or six months ended 30 Sep 2026.

Inference

The board approved an investment of ₹99 lakh for 26% equity in a proposed special purpose vehicle for captive solar power, with completion indicated for Q1 2027-28; the SPV is yet to be incorporated. The board also approved a postal ballot to raise the limit of material related party transactions with NDR Auto Components Limited, and reconstituted four board committees.

The filing does not say whether any dividend has been declared for the quarter, nor what provision, if any, is held against the disputed tax demands or when the appeals will be decided.
