Emcure Pharmaceuticals Limited has told the exchanges that its board, at a meeting on 12 Oct 2026 that ran from 9:45 AM to 10:10 AM, approved a draft composite scheme of amalgamation. Under it, two wholly owned subsidiaries, Zuventus Healthcare Limited and Emcutix Biopharmaceuticals Limited, would merge into Emcure Pharmaceuticals Limited, with their respective shareholders and creditors included, under Sections 230 to 232 of the Companies Act, 2013.

The scheme needs statutory and regulatory approvals, including that of the National Company Law Tribunal, Mumbai Bench. The filing gives the figures for each company for the financial year 2025-26: Zuventus Healthcare had a net worth of ₹871.46 crore and turnover of ₹1,040.58 crore, Emcutix Biopharmaceuticals had a net worth of negative ₹13.07 crore and turnover of ₹29.37 crore, and Emcure had a net worth of ₹3,710.60 crore and turnover of ₹5,243.19 crore.

Because the companies merging into Emcure are wholly owned subsidiaries, the filing says the scheme is exempt from the related party transaction rules.

    Inference

The two subsidiaries are wholly owned, so the merger does not change who owns the business: the assets and operations simply move into the parent. No shares need to be issued to outside shareholders for that reason.

The scheme still depends on the tribunal’s approval, so the timeline is not set. The filing does not state the appointed date or the expected completion date in the part reviewed here.
