IIFL Finance’s board re-designates R Venkataraman as non-executive director and proposes to acquire India Infoline Foundation

IIFL Finance Limited has told the exchanges that its board, at a meeting on 15 Oct 2026 that ran from 11:15 AM to 3:35 PM, approved the results for the quarter and half year ended 30 Sep 2026, and two other matters.

The first is the re-designation of Mr. R Venkataraman from Joint Managing Director to Non-Executive Non-Independent Director with effect from 15 Oct 2026, on the recommendation of the Nomination and Remuneration Committee and subject to members' approval. He will cease to be a Key Managerial Personnel. The company says his executive role is with IIFL Capital Services Limited and that he has never drawn any compensation from IIFL Finance.

The second is a proposal to acquire India Infoline Foundation, the CSR arm of the IIFL group, from IIFL Capital Services. The foundation is a Section 8 company limited by guarantee, with no share capital, and had turnover of ₹35.50 crore as of 31 Mar 2026. No cash or share swap is involved, and control will transfer from IIFL Capital Services to IIFL Finance as part of an internal restructuring; regulatory approvals are required, and the transaction is a related party transaction.

The first change moves an executive director to a non-executive role, which the company explains by his work being at another group company. The second is an internal re-alignment of the group's CSR arm, with no money changing hands.
