Krsnaa Diagnostics Limited has told the exchanges that it allotted 16,21,000 fully convertible warrants on a preferential basis on 13 Oct 2026, at ₹566 per warrant, to its promoter and a promoter group entity. Mr. Rajendra Mutha, a promoter, received 75,000 warrants, and Krsna Diagnostics (Mumbai) Private Limited, a promoter group entity, received 15,46,000.

The company received 25% of the issue price upfront, ₹22,93,71,500 in total, or about ₹22.94 crore. Each warrant can be converted into one equity share of face value ₹5 at ₹566 per share, including a premium of ₹551, within 18 months of the allotment, on payment of the remaining 75%.

The allotment follows a board resolution of 13 Aug 2026, a special resolution passed by members through postal ballot dated 17 Sep 2026, and in-principle approvals from BSE and NSE dated 7 Oct and 8 Oct 2026. The company says its paid-up share capital does not change at this stage.

    Inference

A warrant is a right to take up a share later, so no new shares are issued until the holders convert. If all the warrants are converted, the company would receive the remaining 75% of the issue price and the number of shares would rise by 16,21,000. That would spread ownership across a larger share count, while adding to the company's funds.

The allottees are promoters, so the allotment would increase the promoter group's stake if the warrants are converted. The filing does not say how the money will be used; the annexure to the filing carries the details. Shareholders may want to follow the conversions over the next 18 months.
