Mahindra & Mahindra says Embraer will buy 51% of step-down subsidiary Novavayu Aerospace for about ₹5.1 lakh

Mahindra & Mahindra Limited has told the exchanges that on 9 Oct 2026 at 10:43 PM it received an intimation of an Investment Agreement signed that day, under which Embraer S.A. of Brazil will acquire a 51% equity stake in Novavayu Aerospace Limited (NAL), a step-down wholly owned subsidiary. After the acquisition NAL will cease to be a wholly owned subsidiary and will become an associate of Mahindra Defence Systems Limited (MDSL), which is itself a step-down wholly owned subsidiary of the company.
MDSL will receive aggregate consideration of about ₹5,10,000 for the 51% stake, and the transaction is expected to be completed on or before 1 Dec 2026. NAL was incorporated on 29 Jul 2026 as a wholly owned subsidiary of MDSL, so it contributed no turnover, revenue, income or net worth in the year to 31 Mar 2026 and has not yet generated any revenue. The company says the buyer is not related to its promoters or group companies and that the deal is not a related party transaction.
Inference
The consideration is very small, which matches a company that is only a few months old and has no revenue. The filing therefore says more about a partnership structure than about a sale of an operating business.
The filing does not describe what NAL will do or what Embraer will contribute beyond the stake purchase. Those terms are not in the disclosure.
