Master Trust Limited has told the exchanges that the board of Future Colonizers & Construction Limited, at a meeting on 12 Oct 2026, approved the allotment of 5,00,000 equity shares of ₹10 each to Master Trust Limited, under the resolution plan approved by the National Company Law Tribunal in its order dated 13 Aug 2026. As a result Future Colonizers & Construction has become a wholly owned subsidiary of Master Trust. The disclosure was made on 12 Oct 2026 under Regulation 30 of the SEBI listing rules.
The acquisition is being made under the resolution plan that Master Trust submitted and that the NCLT Chandigarh Bench approved under the Insolvency and Bankruptcy Code, 2016. The filing says the aim is to carry out the approved plan and realise the assets of Future Colonizers & Construction. The target operates in the construction and real estate sector, and the filing says the deal is not a related party transaction.
Inference
The company is acquired through an insolvency process, in which the tribunal approved Master Trust’s plan, and the allotment of shares to Master Trust is the step that gives it full ownership.
The filing does not give the amount Master Trust is paying under the plan in the part reviewed here, or the size of the target’s assets and debts.
