Net profit grew faster than total income over the year. Net profit rose 54.4% to ₹11.27 crore from ₹7.30 crore a year earlier, while total income rose 41.9%.

Other income is a growing part of the picture. Other income of ₹0.99 crore is 1.3% of total income this quarter and 6.4% of profit before tax of ₹15.45 crore. Revenue from operations rose 41.2%, slower than other income, which rose 131.1% from ₹0.43 crore. Other income was lower than in the previous quarter, when it was ₹2.15 crore.

Against the previous quarter, net profit fell 3.3% while total income rose 3.6%. Tax expense of ₹4.18 crore is 27.0% of profit before tax of ₹15.45 crore. The net profit margin was 14.51%, against 13.34% a year earlier and 15.55% in the previous quarter.

The auditor's limited review conclusion on the consolidated results is unmodified. The auditor draws attention to Note 6 on the step-down subsidiary Surge Company LLC in Russia, where FEMA compliances and remittance of capital were in process as at 30 Sep 2026; the report is not modified for this matter. Three step-down subsidiaries not reviewed by their auditors contributed total income of ₹2.85 crore for the quarter, which the auditor says is not material to the group.

The company sub-divided its equity shares from face value ₹10 to ₹2 effective 12 Jun 2026, and earnings per share for the previous period have been restated under Ind AS 33.

The board approved a scheme of amalgamation of the company with its wholly owned subsidiary Mobavenue Media Private Limited on 15 Sep 2026. The filing says the scheme has been filed with the regulatory authority and that approval is pending, with no impact in the financial results.

    Inference

The board declared an interim dividend of ₹0.10 per share for FY 2026-27, with a record date of 13 Nov 2026 and payment on or before 02 Dec 2026. The promoters, Ms Prachi, Mr Kunal Kothari and Mr Tejas Rathod, have voluntarily decided to waive their entitlements to the dividend on their shareholdings; the company says this is intended to contribute to enhancement of overall shareholders' value.

The board also approved a draft notice for an Extra-Ordinary General Meeting on 26 Nov 2026, held through video conferencing or other audio visual means. The filing does not state the business to be considered at the meeting, and it does not give the reason for the promoters' waiver beyond the company's stated intent. The standalone results are referred to in the filing, but their figures are not in the pages provided.
