Income rose while profit fell. Other income fell 47.5% to ₹15.89 crore, so the mix moved toward operating revenue. Net profit fell 12.3% to ₹61.77 crore, and profit before tax fell 14.1% to ₹77.13 crore.

Tax expense fell 20.5% to ₹15.36 crore, so the tax charge as a share of profit before tax is 19.9%, against 21.5% a year earlier.

The consolidated statement includes the joint venture MOIL MPSMCL Mining Limited for the first time. The company's share of its net profit after tax is ₹-0.80 lakh for the quarter. The notes say the shareholding agreement is yet to be finalised, so the entity is treated as a joint venture.

Other income is 20.6% of profit before tax this quarter. The notes do not explain the drop in other income, nor the fall in net profit against the year-earlier quarter.

Standalone figures are nearly the same as consolidated. Total income is ₹385.02 crore in both, and net profit is ₹61.78 crore standalone against ₹61.77 crore consolidated, a gap of ₹0.01 crore. Standalone net profit fell 12.3% YoY, in line with the consolidated figure.

The auditors' emphasis of matter covers a significant portion of opening Low-Grade inventory of ₹158.14 crore that remained unsold in the quarter and half year, and the C&AG's remark on inventory grouping, which the company says is being assessed. The auditors also note a penalty demand from the Balaghat Collector of ₹16.77 crore, against which the company treats the full ₹17.32 crore demand as a contingent liability, with no provision made.

The EMD plant and Ferro Manganese Plant were shut down temporarily; the Ferro Manganese Plant has resumed operation. The company says customer requirements were met from finished goods inventory.

    Inference

The filing sets an interim dividend of ₹2.20 per equity share of face value ₹10, with a record date of 06 Nov 2026 and payment on 30 Nov 2026. The notes print the dividend as 0.20 per share, a difference the filing does not resolve.

The company will subscribe 25,00,000 shares of ₹10 each, a 100% stake in MOIL International IFSC Limited, subject to government and regulatory approvals. The filing does not say how the subsidiary will be funded beyond this subscription.

The filing does not give the reason for the fall in net profit, the financial impact of the new Labour Codes, or the date by which independent directors will be appointed.
