The Phoenix Mills Limited has told the exchanges that the boards of its subsidiary SGH Realty Private Limited, the transferee company, and of Truevalue Infrabuild Private Limited, a step-down subsidiary and wholly owned subsidiary of SGH, met on 15 Oct 2026 and approved a scheme of amalgamation of Truevalue into SGH. The scheme is under Sections 230 to 233 of the Companies Act, 2013, and is subject to approval of the Regional Director or the National Company Law Tribunal, as applicable, and other approvals.

Both companies are in commercial real estate. Truevalue had paid-up capital of about ₹24 lakh, a net worth of about ₹3.7 lakh and nil turnover as of 30 Sep 2026, while SGH had a net worth of about ₹111.4 crore and turnover of about ₹106.4 crore.

The company gives the rationale as creating a simplified and unified business structure and significantly reducing overheads, including administrative, legal and statutory costs. The filing treats the two companies as related parties, notes that amalgamation schemes are outside the scope of Section 188 of the Companies Act, and says the Audit Committee has approved it.

    Inference

This is an internal clean-up within the Phoenix group: a small subsidiary with no turnover is being merged into the larger company that already owns it. Because the group owns both, there is no exchange of shares with outside investors.

The effect on Phoenix Mills is expected to be mainly administrative savings, as the company says, and the filing gives no figures. The scheme still needs the approvals it names, and shareholders may want to follow its progress in later disclosures.
