PTC India Financial Services Limited has told the exchanges that its board, at a meeting on 12 Oct 2026 that ran from 6:00 PM to 7:00 PM, approved three items. On the recommendation of the Nomination and Remuneration Committee, it extended the tenure of Shri Rajiv Malhotra as Managing Director and CEO (additional charge) by one year, from 1 Dec 2026 to 30 Nov 2027, on the same terms and subject to shareholders’ approval. He was appointed to the role from 1 Jul 2026 to 30 Nov 2026, and the company will seek the approval by postal ballot.

It also extended the tenure of Shri Manohar Balwani as Company Secretary and Compliance Officer for one year, from 6 Nov 2026 to 5 Nov 2027. He joined as Company Secretary Designate on 6 Nov 2024 and took charge of the post on 1 Dec 2024.

The third item relates to the company’s holding company, PTC India Limited, which disclosed on 19 May 2026 that it had decided to start again the process of exploring ways to monetise its investment in the company. The board appointed Shri Govinda Garg, or another officer named by the MD and CEO, as the nodal officer to give information and documents and to coordinate with PTC India and its advisers. The filing says this authorisation does not approve any divestment or transfer of shares and does not mean any transaction has been finalised.

    Inference

The two extensions keep the same people in place for a further year, and the first needs shareholders’ approval, which the filing says will be sought by postal ballot.

The nodal officer’s appointment is a process step. The filing is explicit that no sale has been agreed, and it does not say who the advisers are or what the timeline is.
