Renaissance Global Limited has told the exchanges that its Nomination and Remuneration Committee approved, through a circular resolution on 16 Oct 2026, the allotment of 40,000 equity shares of face value ₹2 each. The shares go to employees who exercised options vested under the Renaissance Global Employee Stock Option Scheme 2021 (RGL ESOP 2021).

The allotted shares are fully paid up and rank equally with the company’s existing equity shares. The company will apply to list them on the National Stock Exchange and BSE.

The allotment raises the company’s paid-up equity share capital from ₹21,48,15,442, made up of 10,74,07,721 shares, to ₹21,48,95,442, made up of 10,74,47,721 shares.

The filing says the scheme covers a total of 25,00,000 equity shares, with one share per option, and that 20,28,702 options have been granted so far across seven grants. This allotment is on the exercise of 40,000 options granted under Grant-1. Options under Grants 1, 2 and 3 are exercisable at ₹110 each, and those under Grants 4 to 7 at ₹2 each.

    Inference

The allotment adds 40,000 shares to a base of about 10.74 crore shares, a small increase of well under one percent. The shares come from employees exercising options at the exercise prices set in the scheme, so it is routine capital movement under an existing employee scheme.

The filing shows 20,28,702 options granted so far against a scheme size of 25,00,000, so further options may still be granted or exercised. Each exercise adds shares and therefore slightly spreads ownership across a larger share count. The filing does not state the timing of future exercises.
