Solex Energy says 12 proposed promoter shareholders’ agreements were not executed and will lapse

Solex Energy Limited has told the exchanges that the proposed shareholders’ agreement between its existing shareholders, who are its promoters, has not been executed by the parties. The stipulated period for executing it expires on 16 Oct 2026. The disclosure was made on 16 Oct 2026 and continues an intimation the company made on 17 Apr 2026.

The annexure lists 12 proposed agreements, each between two promoter-group members: eight involve Dr. Chetan Shah and four involve Mrs. Sapna Shah, each with another promoter-group member. The filing says their purpose was the internal realignment of shareholding within the promoter group.

Because they were not executed within the stipulated period, the parties have decided not to proceed with the proposed arrangement under the existing proposal. The filing says it will stand discontinued when the period expires.

Inference

The agreements were between promoters and were meant to realign shareholding inside the promoter group. Since they were never signed, no change to the promoters’ holdings follows from them.

The filing says the arrangement will not go ahead “under the existing proposal”. It does not say whether a different arrangement may be proposed later, or why the agreements were not signed.
