Income rose while profit fell. Standalone total income grew 27.1% YoY, to ₹1,748.12 crore from ₹1,375.05 crore, and revenue from operations grew 27.3%. Net profit fell 22.6%, to ₹176.37 crore from ₹227.80 crore, so the gap between the two lines is large. Profit before tax fell 20.9%, and tax expense fell 16.3%, which is a smaller decline than profit before tax; tax was 27.5% of profit before tax this quarter.
Other income is small against the operating line. Other income of ₹13.40 crore is 0.8% of total income and 5.5% of profit before tax, so the fall in profit is not explained by other income. Finance costs of ₹1.72 crore are 0.1% of total income. Depreciation rose 20.5% YoY to ₹30.34 crore, but the filing does not link that rise to the fall in profit.
The comparison with the previous quarter is steeper. Total income fell 7.3% QoQ and net profit fell 49.3%, from ₹347.70 crore. The filing does not give a reason for the drop in profit between the two quarters, and the press release says only that commodity cost inflation was addressed with pricing actions and that the operating environment remains volatile.
The statement shows an exceptional item of ₹22.53 crore for the New Labour Codes in the year ended 31 Dec 2025, but no exceptional item for the quarter or the nine months ended 30 Sep 2026. The company says the obligations are estimated from actuarial valuation and that any change in estimate will be recognised as the Central and State Rules are finalised.
For the nine months ended 30 Sep 2026, the statement shows revenue from operations of ₹5,151.43 crore and profit after tax of ₹766.25 crore. The company says the announcement of the bp transaction has no impact on its results for the quarter or the nine months. bp plc, the ultimate holding company, agreed in December 2025 to sell a 65% shareholding in Castrol's global lubricants business to Stonepeak at an enterprise value of about USD 10 billion, subject to legal clearances, and will keep a 35% minority interest. The transaction is expected to complete by the end of 2026, subject to customary approvals.
The Board approved Price Waterhouse Chartered Accountants LLP as statutory auditors for a first term of five years from the 49th AGM in 2027, subject to shareholder approval, replacing Deloitte Haskins & Sells LLP, whose second consecutive term ends at that AGM. The limited review report from Deloitte states that nothing has come to its attention that the statement was not prepared in accordance with Ind AS 34, and it expresses no audit opinion.
Inference
Equity share capital is ₹494.56 crore at a face value of ₹5 a share, unchanged across the periods shown, so the quarterly EPS of ₹1.78 is the net profit of ₹176.37 crore spread over the shares in issue. The statement does not give a dividend policy or any dividend declared with these results.
The results show no consolidated column, so the group position is not given. The filing does not say whether the bp transaction with Stonepeak has been completed, and it does not say whether further labour code obligations will be recognised once the rules are finalised.
