Size of the investment and the target

The approved amounts total up to ₹1,450 crore, the same as SML's own rights issue size. SML's board had approved raising up to ₹1,450 crore through the rights issue, as it intimated on 06 Nov 2026.

SML operates in the Trucks & Buses segment and has a market leading position in the ILCV buses segment. For FY2025-26 its revenue from operations was ₹2,837.92 crore and its net worth at 31 Mar 2026 was ₹519.34 crore. The approved investment is therefore about 2.8 times SML's reported net worth.

    Terms of the subscription

The company says the investment will be made at the price SML sets and specifies in the offer document, and that the aggregate investment, including any additional subscription, shall not exceed ₹1,450 crore. The consideration is cash, and no governmental or regulatory approvals are stated as required.

The company says no change in control of SML is envisaged. The number of shares and the percentage holding will be fixed only on allotment, and allotment will follow SML's issue schedule.

What the SML investment means for Mahindra & Mahindra's shareholders

The company's cash commitment to its subsidiary is capped at ₹1,450 crore, and the filing treats the investment as a related party matter of SML rather than a transaction requiring related party approval. The filing does not say what the company will receive in shares, the issue price, when allotment will take place, or whether the full ₹1,450 crore will be subscribed. The next dated step is the allotment under SML's rights issue schedule, which the filing does not date.
